At the beginning of this century, a series of financial scandals happened in America, which thoroughly depressed investors' confidence on American capital market. In order to change this situation, American government constituted and issued a series of laws and regulationgs, among which Sarbanes-Oxley Act of 2002 (SOX Act for short) is a representative . This act has highly strict and rigor requirements on enterprise management, demanding that internal control procedures can hold back the production of risks as well as keep detailed records available. This act stipulates the compliance of all the public companies listed in American stock market .The domestic express department of F group Co.Ltd was established through a transaction of 50% stock shares from a private enterprise with USD 400 millions. Therefore, for an American multinational company in China, complying with SOX Act in optimized area and strengthening internal control system has become the work standing in the first line.From the perspective of a financial process control analyst, this thesis first institutes the goal of SOX compliance in domestic express department of F group Co.,Ltd..Meanwhile, it ascertains the principles in compliance process . All these works are base on the combination of the comprehension of SOX Act and the requests /expectations from senior management of demestic department. Furthermore, in view of the background of this company's foundation and the evaluation of internal control environment, the paper summarizes the design considerations of SOX compliance. The thesis also gives 6 operation steps in SOX compliance practice according to the spirit and content of SOX Act. Afterwards, through the design and study of SOX Act compliance process, the thesis draws its conclusion and states its revelation in the final chapter.
