Company liquidation is an important part of the company system. As a complete process, it is composed of a series of legal acts. New company law is designed to protect the interests of creditors, carrying out liquidation process in accordance with the law plays an important role in safeguarding the interests of creditors and in protecting the stability of socio-economic order.Due to the diversity of social and economic life, the subject of the dissolution and liquidation of the company is various, and it is highly complex. The article discusses non-bankruptcy company liquidation system just from creditors' point, and it does not research all the issues appeared in the liquidation. The study will focus on the interpretation of the case and analyze the controversial points in the case. At the same time, the article is not limited to individual case strictly. Some other important issues related to company liquidation are also mentioned. In addition to the introduction and conclusion of this article, the main analysis is divided into five parts:The first part of this article describes the case, and analyzes company's legal status when its business license was revoked. Then, based on the analysis, the article tells us that revoking their licenses is only one of the reasons for the dissolution of the company.The second part of the article discusses how to run the company liquidation, gives the definition and scope of liquidation obligor. Then analyze its obligations and responsibilities .Based on the second part, a variety of litigation strategies is given in the third part.At the same time, the article also discusses the distinctions and consistencies between bankruptcy liquidation and the non-bankruptcy liquidation. I want to point out the shortcomings about current relevant regulations and putting forwards the legislation proposals and I hope that more and more scholars will consider the question of liquidation. In the future, we will make the theory more complete.
