| The commercial law evolves from merchant's custom law in the middle ages. Commercial code appears in France and Germany in modern times. Nowadays, the commercial law system is perfect and modern. The commercial law is more and more important in legal system and international in economy.In China, we are perfecting the socialist market economy and building the socialist harmony society, so the commercial law must play a positive role in the socialist market economy. However, the commercial law is not harmonious, so we must harmonize the commercial law and law down the commercial code.We must arrange the commercial laws and regulations and draw on the foreign commercial laws in order to lay down our commercial code. We study the commercial laws in China and in foreign countries and we believe we must lay down our commercial code according to The American Uniform Commercial Code in order to develop our socialist market economy.
