Collaborative Supervision By Supervisory Board And Independent Directors Of Quoted Companies

This essay aims to explore the establishment of legal systems of collaborative supervision by supervisory board and independent directors of quoted companies. The writer analyses the problems in practice with "the financial scandal of Oriental Era " as the primer, compares the domestic regimes with that abroad, and points out that we should learn something from them, but not the whole. Many scholars question whether the two systems should exist at the same time. The answer is yes, because of the logical deduction error, the differences from that aboard, the coexistence complementary of the two regimes. Finally, the writer offers some proposals to settle the problems above, such as to make the supervisory board and independent directors more independent, and to establish the collaboration mechanisms of the two bodies. In particular, the writer focuses on the definition of the functions and the establishment of the communication regime and to assessment.
