Discussion On Joint Liability Company System

Joint liability company is a time-honored company system of Mainland Legal System,which combines the good reputation of unlimited company with easy financing of limited company. It is beneficial to attracting investment and enhancing the stability of the company, so it can provide a good organization pattern, which is helpful to diversifying company system and investment. Joint liability company is not included in the existing company law of China, but with the company law amendment, the introduction of joint liability company has been a focus of academic debate.This paper mainly describes the development of joint liability company, and advises introducing joint liability company, following revising our existing company law. Firstly, it gives a general concept and evolution of joint liability company; Secondly, it makes a comparative analysis of legislation and practice about joint liability company of the main countries or regions; Thirdly, it discusses the necessity and feasibility of the introduction of joint liability company; At last, it provides a more detailed idea of the legislation of joint liability company system, so as to prepare for the legislation and development of joint liability company in our country. The author firmly believes that with the improvement of law in our country, joint liability company will be provided in the legislation of our company law, and it will play an important role in the development of the economy in our country.
