It is nearly 10 years for the independent director system introduced to China in 2001.Because the independent director system originated in the United States,and it generated in the One-tier corporate governance structure.The independent director system has emerged a series of problems in the process of implementing because China implements a dual system of corporate governance structure coupled with china's specific national conditions.This article discusses how to improve the selection system independent director system,and strive to ensure the quality of independent directors in the source.In the paper,it adopts historical analysis method and comparative analysis method to describe a series of problems of independent directors selecting procedures.The paper proposes we should to improve the selection of independent directors with lots of good experience at the present stage combined with the practice of states.Also it proposes we should be actively explore a development suited to China's own path in the process of legal migration and replication,then creates a better external environment to safeguard the independent director system development.
