The appraisal right of dissenters refers to when shareholders take majority voting on import issues, such as consolidation, separation, sale of major assets, convertible plan, revision of constitution, dissenters have the right to ask the company evaluating their shares and purchasing them in a fair price. Researching on basic theories and specifics of the appraisal right of dissenters, this paper analyzes current legislation situation of our country and review of disadvantages. Then, based on the analysis of necessity of constructing appraisal right of our country, it explains the loophole of this system, then to table a proposal on completing the system of the appraisal right of dissenters.
