The appraisal right of dissenters refers that the shareholder has the right to require thecompany to repurchase their shares in equitable price, if the shareholders’ committee madea decision which influenced their position, he can exit the company.This right is under the principle of company law that the power of decision resides inthose who control most of the share, to protect guarantee the minority shareholder’slegitimate rights and interests, and balance the position between a majority shareholder andthe minority shareholders of the company. In2005the new" company law" article75th and143rd are also provided for repurchase right of dissent shareholders, to guarantee theminority shareholder’s legitimate rights and interests.This thesis is mainly to study the appraisal right of dissenters in Chinese LimitedLiability Company. This thesis is divided into five chapters. First of all, to introduce thedefinition, Theoretical basis of the appraisal right of dissenters, and also its special function,system function and disadvantages. By the method of comparison, referencing to othercountry’s advanced legislation, this thesis suggests improve measures for the shortage ofour country’s legislation. This thesis is intending to play a better function of the appraisalright of dissenters in Chinese Limited Liability Company.
