Instead, it meets the need of social and economic development and is innovated with stronger life force. Limited partnership is one of the results of innovation in system. History has proved that limited partnership system can attract funds widely and meet the financing demands of many enterprises. According to our demand of encouraging independent innovation and building innovative society, Law of the People's Republic of China on Partnerships revised in 2006 also has drawn limited partnership system into law so as to encourage the development of insurance investment and promote the combination of technology and capital. However, limited partnership system is developing in initial stage and is still not very complete. As limited partnership is being paid more and more attention, the academic circles in our country begin to make more studies of limited partnership, among which the present study of limited partnership from the perspective of dealership is wanted. It is necessary to discuss about it, since it may be the essence of the whole issue of limited partnership system. The fact of partnership is the extension of the dealership in the partnership terms. Agency is the core of the business running. It means that the agency keep through out the partnership's operation. And the key to maintain the agency is the dealership. Therefore, by studying theories, specific functioning types, limitations of the dealership of the limited partnership, we can have a further understanding on the construction of the whole limited partnership system. Besides, it is also helpful for solving various disputes related with limited partnership in daily life. What's more, we can use the dealership of the limited partnership to re-observe the present limited partnership system, referring to advanced foreign experience in legislation and considering specific domestic conditions, to work out the limited partnership system which is suitable to the economic development of our country.
