Limited partnership, a trading organization form, originated from"Commenda"in the middle aged Europe. It was separated from ordinary partnership for the sake of fitting high ventured capital industry and developed under combined action among variety legal and economic factor. Now it has been introduced by many countries in their legislation system. The newly revised law of PRC on partnership business stipulated the form of limited partnership, which was much advanced in system innovation and unique application value than other civil subjects.Research approaches of historical analysis and comparative analysis are adopted in the thesis, we discussed the development of Limited Partnerships in history and legislation models of some countries. And we described the conception and the legal characteristics of Limited Partnerships, then rights of limited liability partners. Also we analyzed the risks that limited liability partners should face with. And then, we discussed rights protecting mechanisms for limited liability partners, on the base of comparing foreign legislation models, and also referring to rights protecting mechanisms for small shareholders of corporations which established in the Chinese Corporation Law. In the end , it researches that the limited partner how to get relief when rights were invaded and how to take responsibility when he did not fulfill the obligation correctly.
