On Corporate Governance System At Independent College

Independent College refers to the undergraduate level sub-college run by universities according to new mechanism and model. To run independent college is an important measure to accelerate the development of Chinese higher education and to meet the demand on higher education by the society. Careful study on the corporate governance system and its inner operating mechanism is helpful to keep the public welfare of running a independent college, to maintain a stable and independent development and to assure the financial resource for its operating. Consummate corporate governance system, as an essential characteristic of modern university, has great theoretical and practical significance for enhancing the quality and level of operating an independent college and for improving its healthy development.The independent college, up to so far, is still running with traditional secondary management system, which doesn't implement the request that the president should asue overall responsibility under the leadership of the Board, which is proposed in the Idea of Regulating and Strengthening Management of University Running an Independent College with New Mechanism and Models, Law of Privately-run School Improving of P. R. C, Implementing Regulation on the law of Privately-run School Improving of P. R. C. Regarding corporate governance, the questions in the course of running an independent college are mainly two aspects, the ownership and Board system. A proper and consummate corporate governance system of independent college, udder the frame of modern university, should establish a scientific and efficient running mechanism on the bias on clarifying ownership and forming ordered corporate governance structure. Consummate and ordered Board system and principal-in-responsibility system should be establish inner the independent college, while a reasonable mechanism on school running and power allocation should be established as well among the benefit-connected including applicant, cooperator, etc. power and responsibility defining and power balancing shall be clear. Inner running mechanism of corporate governance including democratic school running mechanism, effective excitation mechanism, inner conflict easing mechanism, feasible development control mechanism, ect., should be established also to assure the independent college run in order and balance.While consummating corporate governance system, three problems as following should be also taken into account. Firstly, the corporate governance structure should keep its own characteristics on goals, value and running mechanism in according to the specialty of school corporate. Secondly, School running for public welfare and market zing should be well balanced thus to deal well with the conflict between publish welfare of school running and profiteering nature of capital. Thirdly, the relationship between academic power and administration power should also be well dealt with and a management of Board leading, principal in charge and experts researching shall also be proposed.
