The state-owned asset in university is most important substance base to ensure the smooth development of teaching, scientific studying, etc. It is significant to the development of the causes in universities to manage them scientifically and make full use of their effects. However, for a long time assets management in universities have not got been regarded like what they should be antiquated ideas of management, poor management systems and institution construction and lagging means of management. Such striking problems as poor consciousness in assets management, assets slack, serous loss and imperfect management systems can not be solved for a long time, which has a great impact on the development and construction of assets management in universities. Guangdong Ocean University is as-likewise this problem, which has hindered the research and development of teaching, and scientific studying as well.The paper based on the environment which is the deficient management and administration of state-owned assets in China of the universities, takes the Guangdong Ocean University as the case, attempts to construct a Rear-services company which is resolve to inadequate property management. In this way, the management system become an order and non-balanced structure. The system has an order pattern from non-balance by exchanging information to outside. Correspondingly this order shape is enhancing as well. Thus the system is always transforming and consuming under the changing market. Rear-services company separate from university, become a capacity for responsibility of juristic person. It is to integrate the service property resources except estate and house property, operate means is combine company and public property. This system can not only solve a series of problem in management and administration of the state-owned assets in the university, but also help other universities to learn how to keep and increase the value of the state-owned management assets in the university.The paper is guided by the theories of the property right, the public product and the system design as well as the community policy. Firstly, it was discovered insufficiency in management system and property right through analysis state-owned asset in university, so study outstanding patterns and experiences from the foreign and domestic universities. Secondly, to further research the management and administration of the state-owned assets in Guangdong Ocean University and expose a serious of problems on management of tangible asset and the intangible asset. Thirdly, an opening and optimization system is be designed which including the function structure, he achievements appraisal, the calculation assignment, and the surveillance feedback, and they are interaction and affects. Finally, it is necessary to supplement nimble management system for consummates to the system because they make system achieve benign and unimpeded circulation.This paper will promote the academic studies and management level of university assets management in the future and encourage the construction and development of universities even the development of the whole university causes, which through design and reform management system and institution of Guangdong Ocean University.
