A Study On The Legal Problems Of China 's Limited Partnership Private Equity Fund

Limited partnership appeared in foreign private equity fangs has been for decades,its social and economic development has played a very big role in promoting solve alot of small businesses, newbusinesses, companies facing financial difficulties sourcesof funding problem and achieve the rational allocation of social resources. InChina,private equity funds started late, until2007,the country was formally promulgated the“Partnership Enterprise Law” or“limited partnership”. Thisorganizationalsystem, theyoung in many ways, whether the system of laws and regulations, or relevantfacilities,and even the country’s multi-level capital market and so there are still manyproblems. Level in laws and regulations,in addition to our current “PartnershipEnterprise Law” in a handful of provisions in almost all other relevant laws blank;inour multi-level capital market, although now the capital market system has beengradually established, but convergence between all levels of the market properly, butalso a lack of supporting systems,hindering the exit of private equity limitedpartnership funds.This paper on the legal basis for the theory of limited partnershipprivate equity fund in-depth research and study by the foundation,to clarify theconcepts of limited partnership private equity funds,the distinction between rights andobligations of the general partners and limited partners,analyzing “limited partnershipsystem”the pros and cons of this form of organization exists,further analysis of themany problems of limited partnership private equity funds exist,but space islimited,this article only two representative to discuss issues and research.First,thestudy “limited partnership” law problem with this form of organizationexists;Second,studies the problems of withdrawal mechanism, due to the factorsaffecting the limited partnership private equity funds withdrawal is multifaceted,so inthis section is divided into three levels of exit mechanisms were studied limitedpartnership,namely:law,marketing,policy three levels. And more advanced analysisabroad through legislation, combined with China’s specific national conditions, tomake specific improvements and perfect advice to promote the development ofprivate equity limited partnership funds.
