On The Current Partnership System Of Legislation Is Perfect

Partnership Enterprise Law of People's Republic of China was issued in 1997,which is a milestone of our country's partnership system. It combines relevant regulations on partemership from General Principles of the Civil Law of the People's Republic of China and develops our current partnership legal system with its important role in market economy. However, with the development of practice and the deepening of theoretical research, the deficiency in existing provisions is revealed gradually, especially the fast development of risk investment industry requiring the limited partnership, has increased people's concern and discontent about the current partnership legal system.In response to that demand, Finance and Economics Committee of the National People's Congress has already set about the revision research of Partnership Enterprise Law. The revision relates to many aspects of the Enterprise Law. This dissertation puts forward some personal views and suggestions on the following aspects. First of all, in terms of name, Partnership Law of the People's Republic of China is maintained to adjust the partnership legal system of our country universally. Secondly, as to detailed content, I mainly refer to four questions: legal status, legal person partnership, partnership property and limited partnership, which are the most important, the most fundamental and the most disputable questions in partnership systems. The dissertation is made up of five parts:The first part is about summary of the partnership system. On the one hand, through review the origin and development of partnership system, comes to the foundation of the article, that is, two types of forms the partnership system :Contract Partnership and Organized Partnership.
