Law of the People’s Republic of China on Securities Investment had been revised on December28,2012. The new law stipulated the private offering fund for the first time, and this provision ended the embarrassed situation of the private offering fund that for a long time the private offering fund has been dissociated between legal and illegal.While the private offering fund has been brought into the adjustment range of that law, how to supervise it became a problem that the regulatory authority facedCompared to the numerous experience in practice and legislation of the foreign countries years of private equity funds with foreign regulatory practices and a wealth of legislative experience, China’s private offering fund legislation should be said is still in its infancy. The rules need to be further clear and perfect. This article focus on the legal issues of the supervision of the private offering fund, and it can be divided into four parts.In the first part the author introduces the basic issues of private offering funds, including the concept of it the characteristics and classification of it. In this section, author compared private offering fund with the Illegal fund-raising and distinguished the essential difference between them.In the second part, the author briefly introduced the necessity of the supervision of the private offering fund,the goals it should achieve and the principle it should abide.In the third part, the author introduced the regulatory system of the private offering fund in America, both of which are very representative.And in the last part, the author analyzed the legal issue of China’s private offering fund and put forward my own view about it.
