A Study On The Governance Of Chinese Enterprises' Overseas Commercial Bribery

With the continuous improvement of China’s comprehensive national strength, Chinese enterprises have been keeping significant growth on their oversea investment all over the world. However, while doing these external investment, no matter China Government or Chinese enterprise are not that used to the business environment of other countries, e.g. the fair competition rules and policies which lead some Chinese enterprises make under table activities at the time they do business of oversea investment. It damages not only the corporate image of itself and also damage overall perspective about China external investment to other countries. Thus, I believe how to avoid Chinese enterprises’ foreign commercial bribery and how to optimize the existing management policy has already become an important and urgent research subject.In first chapter, I’d like to start with introducing flourish Chinese enterprises overseas investment, and we can conclude that "Going Out" is an irresistible trend to Chinese enterprise now and then. Therefore, I do the analysis for the related causes about the current situation that international community has negative impression about Chinese enterprise oversea investment; in second chapter, from the point of mother company of multinational company, the country that the company invest in and international community, I expatiate that China enterprise comply with China Criminal Law Amendment Eight, Foreign Corrupt Practices Act, United Nations Convention Against Corruption and other local, regional or international laws and regulations. Accordingly, Chinese enterprises must do any business legally in any country, or they will be suffered with heavy punished a lot; in the third chapter, I analyse the necessity of company to control overseas commercial bribery for their sustainable development interests and social responsibility. At the same time, I also pointed out that China have to pay more attention to Chinese enterprises overseas commercial bribery; In the fourth chapter, I give some feasible Suggestions in order to help the Chinese government and China enterprise to solve overseas commercial bribery problem efficiently.
