With the establishment of modern enterprise system, the structure ofcorporate governance has changed,"the interests of both type"thinkingbegan to instead of "shareholder interests first", employees in theenterprise as a labor representative and the employer representatives onbehalf of shareholders between conflict of interest in a market economyis considered to be using the system to reconcile. The system of employeesupervisors is the practical response to the stakeholder theory、humancapital theory and so on. Employees through the employee representativesystem of supervisors to the board of supervisors the right to drivemonitoring of rights, established the system of workers in the company’s position in the corporate governance structure.It is the important waysof our employees participate in corporate governance.And also is veryimportant to improve the structure of corporate governance and theprotection of employees’legal interests. But in reality, its operationis not good enough; some scholars even propose that the system of employeesupervisors should be abolished. To play its due role as of supervisorsneeds improvement.Therefore, the author use the theoretical study torearranges and reshapes the theorital basis of the system of employeesupervisor,then focuses on the China’s current situation and examinesthe legal causes of the operational problems in practice. At last,theauthor raises specific suggestions on reform approaches and legislationto perfect the system of emplyee supervisors...
