Since the implement of reforming and opening up 20 years ago, the reform of state-owned enterprises of our country has made great progress, but state-owned enterprises still lacks vigor. Manager is the most essential value drive and power source of state-owned enterprise, however, distempered manager-performance evaluated system, improper index choice of our state-owned enterprise make the implement of manager's incentive mechamism lack performance evaluated basis. Combined with incentive practive of our country, the paper introduced scientific performance evaluated index EVA which reflect the fortune added of enterprises, established performance evaluated system of state-owned enterprise. Based on scientific performance evaluation, the author designed a model that managers participate in the distribution of EVA as human capital to solve the problem of deficient incentive and difficult evaluation of human capital.This paper refered to western incentive theory of developed countries, compared the discrepancy of manager incentive practice between our country's state-owned enterprises and foreign enterprises, analyzed the present situation of manager incentive mechanism of the state-owned enterprise of our country, and explained the importance and urgency of the establishment of effective manager incentive mechanism. The paper lead into EVA concept, established a manager performance evaluated system suitable for state-owned enterprises of our country which make EVA to be the guide of managers' action and lead managers to improve their managerial skills for the maximum value of state-owned enterprise, explored efficient way to solve the problem of deficient incentive, established an effective incentive mechanism of managers of state-owned enterprises that contain reward incentive mechanism, report and honor incentive mechanism, surplus assuming incentive mechanism, engaging and dismissing incentive mechanism, especially designed a model for managers to participate in the distribution of EVA as human capital, put forward a new minset of manager EVA share, and offer an effective method to solute the performance evaluation and incentive problem of state-owned enterprises.
