Group affiliation has been a common phenomenon during recent years. More andmore public companies have been controlled by business groups.Jade-Bird Group is one of the most concerned, due to its problems such as shortageof cash and occupation of capital by majority shareholder, which lead to volatility ofstock prices.In this paper, we studied 3 listed companies of Jade-Bird Group. The study mainlyfocuses on the corporate governance, strategic decision and interest confilictsbetween majority and minority holders. Through the comparison of business results,affiliate transactions and capital movements before and after the entry of Jade-BirdGroup, we find that shareholding structure and governance play important roles inthe process of group management. The concentration of equity rights and thederivation of cash-flow rights and voting rights determine how the majorityshareholders make their capital arrangements.By studying this case, we hope to explore how they formed and managed, pose theproblems to be solved urgently, which will be essential for the practice ofstrengthening the protection for minority shareholders, of build-up thesecurity-related regulation and laws as well as of avoiding of financial risks.
