According to the relative statistical data, it is largely increasing for the case of misappropriating or impropriating the company's capital. The transgressions had occurred 14 thousand times and the sum amount 11.46 billion in 2000. People are interested in the independent director system, which origin in England and America in 1940's and boomed in 1970's, by the governance scandal and company bankrupt happened continually. The construction of system is very important if people want to realize the normative and orderly company operation. We introduced independent director system at the beginning of the new century to improve the situation of ill corporation governance. Compared with other members of the directorate, the most remarkable characteristic of independent director is its independence, which independent on some benefit group and serve the whole benefit of the company. So, it is pivotal to research how to guarantee effectively the independence of independent director in the construction of independent director system.
