Research On Problems And Countermeasures In The Independent Director Systems Of China

With the gradual improvement of China's capital market and the substantive development of the capital market gradually open,listed companies such as the influx of rain,but good and bad.Therefore,China's listed companies need to establish a sound corporate governance structure.In order to overcome the discomfort of corporate governance in the transition from state-owned enterprises to listed companies in China,the CSRC introduced independent director system from developed countries such as Britain and the United States in the early 20 th century.Although the independent director system in China to run a little success,but also inevitably there are many contradictions and problems.This paper attempts to analyze how the independent director system plays an important role in the listed companies and the boundaries and shortcomings of its system through the combination of literature and case,taking the case of Vanke's control dispute as an example.In this paper,Scholars and practitioners on how to solve the independent directors and the independence of the incentive to improve our own independent system of their own recommendations and views.The article will consist of six parts.The first chapter is the introduction.Introduce the writing background,significance and innovation of this article.The second chapter introduces the literature review related to the mechanism of the independent directors,summarizes the related research literature at home and abroad according to the content,and then summarizes the evaluation.The third chapter first introduces the origin and development of the developed countries and the independent director system in our country,and summarizes the status quo of the independent directors in China.The fourth chapter introduces the case of the independent directors of Vanke,and draws out the mechanism and problems of the independent directors of Vanke from the case of the vote of the individual directors of Zhang Ke-ping,and the general problems of the independent directors in China.Chapter 5 describes the corresponding countermeasures to solve the problems existing in China's independent director system,which is based on the independent directors of Vanke Company,which is based on the present situation of our country.Chapter 6 is the conclusion and future of the study.
