With the global M&A becoming increasingly active and China's opening extent constantly increasing, the scope of foreign M & A become more and more extensive, and the scale of foreign M&A become bigger and bigger. Foreign M&A has brought our country advanced technology, management experience and strong financial resources, however, the large-scale foreign M&A led to the massive drain of our national brands, foreign enterprises have the trend to form industry monopoly, it has started to threaten China's industry safety, and has a profound impact on China's economic safety and development. Therefore, to strengthen the study of the protection of national brands under foreign M&A, it is very important for protecting national brands and safeguarding the safety of national industry.Firstly based on the related theories of the protecttion of national brands, by reviewing the related literatures of the protection of national brands, this thesis summariezes the researching emphases and innovating points; Secondly this thesis makes use of comparative analysis method, and analyzes and compares the current situation of the protection of national brands between domestic and foreign countries; Thirdly, this thesis makes use of case study method, and selects Carlyle-Xugong, Danone-Wahaha as well as Coca-Cola-Huiyuan Juice to make analyses.This thesis found that China's Government has already started to take relevant measures to regulate the conducts of foreign M&A. And to some extent, these measures have achieved some effectiveness of the protection of national brands. However, some related measures are unworkable, they need further improvement. Finally, this thesis suggests the Government should strengthen government legislation, improve related laws and regulations and regulate government procurement to protect national brands and support the development of national brands.
