Outsourcing has become an important way to adjust the industrial structure. It has an important meaning to the development of the outsourcing industry that the client and the vendor build good relationship based on the trust. In the previous study, the research of the factors influencing trust between two parties focuses on the alliance, supply chain collaboration and so on. And the research method is mainly case study or the depth interviews with companies, the method in the empirical analysis is few. So this research is aimd to fill up this gap.This research discusses the factors influence the trust between the client and vendor that the vendor perceives, and how trust influences the commitment between the parties. Based on the existing maturity measuring scale of the available literature, and the depth interviews from the enterprises engaging in outsourcing, the survey questionnaire is designed. The questionnaire survey was conducted in Beijing, Shanghai and Xi'an. Finally the data collected back is analyzed by SPSS11.5. Descriptive statistics, correlation analysis, regression analysis and variance analysis reached the following conclusions: (1)In the outsourcing projects, the communication between parties, mutual dependence, effective conflict management and knowledge-sharing have a positive impact on the trust between the client and the vendor; the cultural similarity between the parties has the opposite effect to the trust; (2)The mutual trust between the client and the vendor has a positive impact to each other's commitment; (3)The communication between parties, mutual dependence, effective conflict management and knowledge sharing through mutual trust have a positive influence on the each other's commitment.
