In recent years, the financial fraud case broke frequently at home and abroad, causing high attention on the internal control in the capital market, the investors and capital market regulators are aware of that the effective internal control not only requires sound, reasonable control system, what's more important is to ensure that these control systems can be effectively implemented. It is an effective way to make the intern control system operate effectively that require management class to carry out self-assessment of internal control and disclose the internal control information. This study is mainly about the motive that listed companies disclose the internal control information, analysis, explore factors affecting the internal control disclosure, try to find the law of internal control disclosure.Through analyzing the habits and styles that listed companies disclose internal control information to find the inner mechanism of the internal control construction, which makes information discloser fully understand the importance of internal control disclosure and make investors understand the " language "of internal control disclosure, also for the capital market regulators to further improve the internal control disclosure rules, laws and regulations. Since the intern control construction is not perfect in our country, it contributes practical and theoretical significance to research the factors affecting internal control disclosure. First, this paper analyzed the importance and necessity of internal control disclosure; then, the paper summarized domestic and foreign internal control disclosure laws and regulations. Based on the environment of internal control construction, this paper reviewed former research on this area, including domestic and international. Subsequently, the paper summarized the theory of internal control and its development process; and then explained the relevant theory of internal control disclosure, from the contract theory, agency theory, signaling theory and the theory of asymmetric information, elaborated the basis for companies to disclose internal control information and the necessity to disclose the information, which laid a theoretical foundation for the empirical studies. In the third part of this paper, the author took all the listed companies in the A-share market as a sample, carried out a statistical analysis on internal control disclosure for the recent three years, and then conducted a descriptive statistical analysis and stepwise regression analysis on the related factors affecting internal control disclosure; Finally, based on the research, the author proposed some constructive suggestions on internal control disclosure of our country, also pointed out the shortcomings of the research in order to provide a reference for future research.
