After Enron, the U.S. President George W. Bush signed the Sarbanes-Oxley Act, to force public companies to disclose internal control information. In 2006, China has successively promulgated the "Shanghai Stock Exchange Guidelines for Internal Control of Listed Companies", "Shenzhen Stock Exchange listed company internal control guidelines", and in 2008, promulgated the "basic norms of internal control". In April 26,2010 issued the "Practice of Internal Control", "Internal Control Evaluation Guidelines" and "Internal Control Audit Guidelines", which will be executed from January 1,2011 by listed companies from both inside and outside,and on January 1,2012,the standard will be executed by all of listed companies at the Shanghai Stock Exchange, the Shenzhen Stock Exchange. All of the standard internal control information indicates that the disclosure of voluntary information disclosure by the turn of the mandatory information disclosure.However, our internal control information on disclosure requirements issued not long, research is still at a preliminary stage.2011 will be the key year for the majority of listed companies which will improve their internal control disclosure of information to comply with internal control practices. Based on the above considerations, under the existing regulations, the paper statistical analysised the disclosure of internal control information of 142 listed companies in the Shenzhen Stock Exchange to pointed out the existing problems and ways to improve the internal control of information disclosure of listed companies made a number of recommendations.This thesis contains five parts. The first part is introduction including the background and significance of research, methods and framework.The second part is literature review. In this part, I introduce some relevant literature both at home and abroad and give an overall analysis, which lay a mating for my research. The third part is the theory analysis of internal information disclosure. Firstly I define concept of the internal control and internal control information disclosure. Then I discuss theory foundation of internal control information, and explain why information disclosure is needed.The fourth part is empirical analysis. In this part, I analyze the relationship between independent variable and dependent variables, and form a study conclusion and make some suggestions.The last part is a conclusion and make some suggestions according the conclusion above.
