Long-term incentive mechanism is an important part of the enterprise's management system and it is playing an active role in corporate governance structure, mobilizing executives and staffs enthusiasm and creativity, and protecting the rights and interests of the shareholders.At present, the payment system of Chinese enterprises'executive has many disadvantages in quantity, structure and generation, and is also lack of long-term incentive mechanism. Normally, long-term incentive mechanism is defined as the interest-distribution mechanism for enterprise executives in the stock ownership incentive forms. Based on the incentive theory and related to NCP company as background, long-term incentive mechanism will be analyzed and extended on the basis of other literature, as the management system for enterprises within this text., Based on NCP current situation, this text also provides corresponding countermeasure in improving and optimizing the NCP company as a secondary enterprise managers and also including long-term incentive mechanism for employees.With this kind of long-term incentive mechanism, the NCP company, as a secondary enterprise, internally needs to provide detailed system and management based on EVA performance evaluation. On the other side, NCP needs to create a fluent communication with general employees and setup related assessment and supporting system, which will be great helpful for employees development. In that case, a preliminary suitable long-term incentive mechanism is to be established in NCP company.
