Since the 21st century, international labor division is changed. Chinese economic and foreign trade has developed rapidly. The mode of foreign capital has important influence on the allocation of resources and industrial structure. A great many foreign OEM orders are not directly ordered to the local enterprises, but in the form of FDI in the host country. New division is that advanced countries leads R&D and marketing and developing countries produce larges of OEM production. Most developing countries are in low value chain and become the affiliates of the leaders. So the developing countries should upgrade across the process of the producing.The paper draws on previous research results, based on the use of a combination of qualitative and quantitative approach focuses on the upgrading of local enterprises with foreign investment foundry relationships, foreign foundry model of local enterprises to upgrade the domestic market environment and the international market environment. The mode of foreign capital optimizes the allocation of resources. It has a significant impact on local enterprises. It has technological overflowing effect on local enterprise. It promotes the upgrading of the industrial structure. It extrudes the capital and labor of the local enterprises.The paper analyzes impact of the foundry model of foreign investment to the domestic market, and then analyzes the impact of the changes in the domestic market environment to local enterprises to upgrade. The mode of foreign capital aggravates the market competition and riches product categories. It has influences on marketization, income, the elasticity of income and the structure of the consumption. These changes of the domestic market environments promote the upgrading of domestic enterprises.The paper analyzes impact of the foundry model of foreign investment to the international market, and then analyzes the impact of the changes in the international market environment to local enterprises to upgrade. The mode of foreign capital not only affects the domestic market, but also affects the international market. The mode of foreign capital promotes Chinese trade, especially the development of processing trade, expands the trade surplus and increases the foreign exchange reserves. The trade surplus and foreign exchange reserves form pressure on the appreciation of RMB. The appreciation of RMB has short-term impact on local enterprises, but promotes the upgrading of local enterprises from a long-term perspective. RMB appreciation changes interest rates than wages. It has goods on the upgrading of local companies. The mode of foreign capital aggravates competition of the bottom product market, increases the trade friction. A great many countries adopt various protectionist measures, such as anti-dumping, anti-subsidy, technical barriers to trade, green trade barriers, blue trade barriers from their own interests. The rise and spread of trade protectionism forms great pressure on local enterprises upgrading.Based on the analysis of the domestic and international markets under the the foundry model of foreign investment, the article gives some suggestion to the upgrading of domestic enterprises. The upgrading of domestic enterprises has opportunities and challenges when we face the complex of the domestic and international market environment. The government should provide a good market environment for local enterprises. It should improve the system of socialist, deepen the reform of income distribution system and the social security, optimize the structure of foreign direct investment, adjust the structure of export goods, and provide various policy supports for local companies, strengthen information gathering in response to various trade barriers, promote the reform of exchange rate system. Local enterprises should actively realize upgrading, produce market-oriented production, introduce advanced technology and management mode, promote the improvement of the productivity, increase R&D investment on products and avoid the risk of exchange rate fluctuations.
