With China's reform and opening up and economic take-off, batch after batch of family businesses continue to emerge in the land of China. They were growing under China's and global economy environment, grandually they have become one of China's today's even the future's main driver of economic development. However, in the development of the family business, there are many widely criticized for problems. Such like enterprises do not pay attension to human resources, lack of trust between family members and non-family members, lack of employee ownership, high mobility and other issues.This study starts from the perspective of social exchange, focusing on the social exchange problems between family and nonfamily members in the family business. Based on past research experience and lots of literature review, this paper propsed a new concept, called Family-Nonfamily Group Exchange (FNX). The new concept intended to capture the interaction and mutural understanding between family and nofamily members. First, we define the FNX concept theoretically and try to distinguish the concept from similar related concepts like LMX and TMX. Then conbining literature study and content analysis of interviews, we proposed a dimension structure testing model for FNX. And empirically we tested the model by questionnaire method later.After the development of FNX, we used questionnaire methodology, take a sample of 109 family businesses in the area of Guangdong and Zhejiang province, investigated the relationship among family corporate governance structure flexibility, FNX, non-family employees'job-efficacy and HR strategy empirically.Using the correlation analysis, variance analysis, regression analysis to deal with the conlected data, we found that:family business FNX has four dimensions. They are emotions, trust, contribution and professional respect. At the same time family business governance openness and extensiveness are positive related to nonfamily members' job efficacy. And FNX mediated the relationship above. HR strategy plays a positive moderate effect on the relationship between family business governance structure openness and nonfamily members'job efficacy. At last, opposite to our assumption, HR strategy plays a negative moderate effect on the relationship between family business governance structure extensiveness and nonfamily members'job efficacy.
