Research On M & A Of A Company

Merger and Acquisition (M&A) is a kind of needs for the development of the High-Tech Start-up Enterprise and as a powerful means of strategy implementation is widely accepted by Enterprises. A company, founded by overseas returnees, strides over the riskiest start-up stage, the Angels are willing to disinvestment. In order to preserve the harvest accumulated in start-up stage and hedge the uncertainty of development, on their own initiative, Angels search for mergers to fulfill the corporate long-term strategy and maximize the profit of shareholders, so as to guarantee the interests of corporate, shareholders and employees.This thesis selects the Company A's case of being acquired by foreign capital as the analysis object and it is based on a special view which is the returnees technology startups actively seeking M&A. Referring to theoretical basis of Western M&A, theory of M&A driver, I try to find main reasons for drivers of initiative M&A of Company A. I analyze company A mainly from business background, ownership structure, operating condition and the choice of mergers and acquisitions. The thesis also analyzes foreign-capital company's background, transnational M&A strategy and tactics based on the perspective of company A. However, while we complete the research on three stages of pre-mergers, M&A and post-merges, due to personally involved in this M&A case, I summarize the experience and weakness during the M&A process and discuss about company A's the post-merger strategy of corporate development and integration to supply a similar corporate for reference.
