With the seperation of the ownership and operation, based on the principal-agent theory, independent auditing emerged. As a service provided by CPA, only under high qualification, does it satisfy the demands of society, as well as other material products.However, with the exposure of a series of auditing failure, the responsibility of CPA and qualification of auditing reports are suspected by more and more people. As a main factor which has an effect on auditing qualification, the relation between ownership structure and auditing becomes a focus of security supervision department.Based on the definition of ownership structure and auditing qualification, principal-agent theory is used to analyse the correlation. I choose listed company in 2008 as the sample, set the proportion of the largest shareholders, stated-hold shares, legal-person shares, circulation share and ownership restriction as explanatory variables, discretionary accruals as,under the model of logistic which sets assets, asset-debt ratio and return of net asset as control variables,after testing and analysing by eviews5.1,I conclud that the largest shareholders, stated-hold shares and legal-person shares have a negative correlation with the auditing qualification while the circulation share and ownership restriction have a positive correlation.I promote some suggestions as follows:1. changing the management of stated-hold companies. Clarifying the characteristic of companies, setting reasonable profit target, and assessing the operating achievement by profit are the main ways of ensuring the companies operating in the market, rather than inervene by the government. Only in this way, do the companies paticipate the stated-owned assets.2.increasing the ratio of legal-person shares, cultivating active institution investors and enforcing the supervision on operators.3.raising the ratio of circulation shares and strenthing the external corporate governance.4.deepen the reform of sub-owned shares.5.cultivate operator market to reduce the controlling by the insiders.
