Corporate social responsibility is that corporate management should aim at promotingthe interests of shareholder and l other stakeholders. Corporate social responsibility is thebasic expression of corporate culture and values and an important integral part of theconstruction of socialist spiritual civilization. It plays an indispensable and irreplaceable partin building a harmonious society. Corporate social responsibility is conducive to balancingthe interests of stakeholders, maintaining social stability, promoting social development andprotecting the public and natural environment. We determine whether a subject is astakeholder or not under the relationship between the interests of the individual or group andproduction operations and the consequences of corporation. According to the stakeholdertheory, enterprises should take social responsibility to employees, shareholders, consumers,creditors, communities, government and environment. By comprehensive analysis of therelevant laws and regulations, we can fide that there are some regulations of corporate socialresponsibility in Governance standards of listed companies, Corporate Law, Labor Law,Labor Contract Law, Tax Collection and Administration Law, Enterprise Income Tax Law,the Trade Union Law, Public Donation Law, Contract Law and other laws and regulations.But there are still some shortcomings in these laws and regulations. For example, there is notenough emphasis for disclosure to stakeholders, these laws and regulations did not determineprotecting the interests of the employees to the legislative purpose of this act, trade unionslack of autonomy, tax deduction of donation is too restrictive. Learning from the regulationsand practices about the corporate social responsibility in foreign countries, China should builda mode in which stakeholder participates in corporate governance, establish informationdisclosure system and monitor mechanism about corporate social responsibility, improve theincentive system of norms especially tax law and donation law, and introduce the publicinterest litigation of social responsibility to improve the legal system on corporate socialresponsibility and promote the development of corporate social responsibility movement.
