Processing trade is a kind of important way that developing countries participate in the international division in the economic globalization background. After mire than 20 years of development, processing trade has become the main trade way that greatly contribute to the development of the economy, it has made historical contribution for the economic and social development of our country. But it has a lot of problems that can't be ignored too. Specifically, the value-added ratio is low, foreign-invested enterprises are in a dominant position, labor-intensive products account for a too high proportion, domestic gearing role is low, self-R&D and marketing ability is low. Therefore, China's processing trade needs further transformation. At present,a new round of reforming of the globe production factor and the industry transfer has took on a new characteristic.The new trend has come into being in the international investment. Multinational has speeded up the transfer not only of the manufacturing to developing country ,but also the service industry and the center of the reaserch and developing. The environment of the investment of the countries around China has improved greatly,such as the reducing of the labour force cost, the consistant advancing of the labour force. The comparative advantage has been turned out. The processing trade in China is facing the serious opportunity and challenge. So, the processing trade in China must take a transformation in order to achieve the smooth development. The decision of the perfecting the marking system, which made in the Third plenum of the 13^th Central Committee of the CPC, has put forward that China have to develop the processing trade by absorbing the high tech and more increment processing tache in order to lead the processing trade to transformation.The article has deeply analysed the developing actuality of the processing trade of China.
