The Research On The State-owned Enterprise MBO

Management Buy-out, originally existed in England, in 1970s, which is one of the important methods for adjusting enterprise own-right structure. Its applition and development offered new thought for state-owned enterprise in China, and also accelerated the process of its convertion. But MBO had only developed several years in China, so, MBO, as a new thing, exsited such problems as laws' unstandardization, financing methods' unclear, information discloses' not enough, which lead to once prohibition of MBO as the method of state-owned enterprise convertion by the government. Therefore, it became an exigent problem to consummate laws and regulations related to MBO and regulate the behavior of MBO.Firstly, this paper introduces the conforming and development of state-owned enterprise MBO, and analyzes the recent situation of state-owned enterprise MBO, from the aspects of distribution of field and district, purchasing goal, purchasing body, trade prise, information disclose, converting method, finance resource, manage achievement, and operating step, then summarizes its charisteristics. From this analysis, this paper then obtaines the exsiting problems of state-owned enterprise MBO which need to regulate and revise question, that is legal question, financing question, pricing question, and inspect system question.Aiming at solving main problems, which at present exist in state-owned enterprise MBO in our country, this paper puts forward regulating suggestions to state-owned enterprise MBO for the related main body and the supervising and managing organization. The paper proposes to issue " state-owned property law " as soon as possible, consummate MBO related laws and regulations and make clear rights and responsibilities of related main body; in view of the information disclose problem in MBO, the paper put forwards the the standard rights and regulations of enterprise trustee and other stock owners to make the process of transferring state-owned property right more transparent and fair; gives the...
