This is a thesis focusing on the rationality of employee stock ownership plan which practices in Non-state owned Hi-tech enterprise, and on discussing how to practice it properly.Since the birth of employee stock ownership plan in 1960s' America, the employee's droit in sharing ownership of enterprise is being more and more valued by people. The scholars of our country also make a beneficial exploration in this.field. The employee stock ownership plan has changed its color from welfare into a powerful share incentive mode in Chinese environment, especially to the Non-state owned Hi-tech enterprise. Considering the crescent influence of Non-state owned Hi-tech enterprise, the research on this topic has the important social meaning.This thesis begins with the concept and characteristics of Non-state owned Hi-tech enterprise, and educe the significant importance of talented employees who form the core competition power of Hi-tech enterprise. Accordingly, how to inspirit talented employees becomes an urgent need for Non-state owned Hi-tech enterprise. The second parts of the thesis explain the original concept, and the theoretical basis of employee stock ownership plan. On this basis, it expounds and compares different modes of share incentive which already in the common use in western countries. The thesis further discussed the employee stock ownership plan's applicability for the Non-state owned Hi-tech enterprise, and draw a conclusion that the twos can be closely combined together. The later part of papers focus on analysis and experience summary of two Non-state owned Hi-tech enterprise -Huawei Technology and Jianghai Electronic Technology, whom practice the employee stock ownership plan. In the final part, some independent viewpoint are put forward about the key points for carrying out employee stock ownership plan.Based on the foundation of the past study result, this thesis make a more detailed comparison research in the main forms of current share incentive. Meanwhile on the analysis in applicability of Non-state owned Hi-tech enterprise and employee stock ownership, also in the rationality of the dispersion type share ownership structure, this papers put out some independent standpoint. Taking this as some help for the healthy development of the Non-state owned Hi-tech enterprise, and hope can provide some ideas and inspire to the study in this field.
