The Research On The Management And Control Modes Of Parent-Subsidiary Corporation Based On The Subsidiary's Growth Character

Parent-subsidiary corporation is developing with companies?ˉexpansion and development. The management and control of parent-subsidiary Corporation is a world wide difficult problem, and also is an urgent realistic problem to be settled. The core problem of parent-subsidiary management is the management system arranged under the corporation governance structure frame, its research contents are divided into corporation governance mode question of parent-subsidiary Corporation, and management and control mode question of parent-subsidiary Corporation.The core of this thesis is to research management and control modes of parent-subsidiary corporation based on the subsidiary?ˉs growth characters. The subsidiary?ˉs growth character is to analyze the businesses and capabilities of subsidiary under parent-subsidiary management and control structure frame. We see subsidiary?ˉs growth character from businesses and capabilities as (1) the enhancement/depletion of capabilities in the subsidiary, coupled with (2) an explicit change in the subsidiary?ˉs businesses. Therefore, the subsidiary?ˉs growths not only include subsidiary business gain and capabilities enhancement but also subsidiary business loss and capabilities depletion. The three phases of subsidiary?ˉbusiness: business gain, business development and business loss. And also subsidiary?ˉs capabilities development including :capabilities enhancement, capabilities sharpening and capabilities depletion. We analyze the interaction between capability and business and identify five generic subsidiary growth characters : parent-driven investment, subsidiary-driven business extension, subsidiary-driven business reinforcement, parent-driven divestment and atrophy through subsidiary neglect.As the management and control modes, this article analyze three generic modes : administration control, participation control and platform control. At the same time this article analyze the relationship between the organization of subsidiary and parent-subsidiary management and control modes. At last this article select the modes according to subsidiary?ˉgrowth character and subsidiary?ˉs organization structure.
