Following the fast development of science and technology as well as economic globalization, M&A is more and more active.2005 and 2006 have just witnessed another upsurge of M&A. The total value of M&A reached 716 billion dollars in 2005, increased by 88% compared with the same period of last year. The number of M&A activity reached 6134, increased by 20% compared with the same period of last year. From January to September in 2006, the total value of M&A even exceeded 1,100 billion dollars, increased by 54% compared with the same period of last year. In the busiest 9 months of cross-border M&A, 34% of the M&A was cross-border M&A.In the great tide of cross-border M&A, Chinese enterprises of manufacturing industry are also making great efforts to utilize the opportunity to development and improve their own competence. Among the factors driving the Chinese manufacturing industry to carry out cross-border M&A, one factor deserves the close attention of us most, that is the lack of core technology capability. According to situation and trend of development of manufacturing industry of China, the lack of core technology capability has already become the most serious problem, hindering the development of Chinese manufacturing industry.Transnational M&A has provided the enterprises of manufacturing industry of China with a very good chance to get core technology capability. However, since the particularity and complexity of M&A, the success rate of transnational M&A is very low. So, the research of this dissertation is focus on the transnational merger technology assessment and selection, as well as integration of the key technological staffs, which are two most important problem of the core technology integration in transnational merger of Chinese manufacturing industry.
