In recent years,the overseas investment and mergers and acquisitions of Chinese enterprises have increased substantially.Under the current new economic normal,more and more enterprises choose to obtain breakthroughs in their own development bottlenecks and their transformation and upgrading through the acquisition of advanced foreign technologies through cross-border M&A.Technology acquisition-based overseas mergers and acquisitions have become an important way for China's industrial restructuring and upgrading and technological innovation.However,in the process of technology-acquiring overseas M&A.Chinese enterprises are often unable to obtain the expected M&A results due to the integration difficulties.Based on this background,this paper studies how different degrees of integration affect the innovation network where both parties of mergers and acquisitions are located,and then how to influence the capability of technological innovation in the industries where mergers and acquisitions take place through network evolution and technology spillover.The factors affecting the integration of overseas mergers and acquisitions are diverse.This article expands on the basis of summarizing the theoretical research of predecessors.Based on the merger's and the target's knowledge similarity and complementarity,as well as the target's network resources,this paper explores the matching of different knowledge similarities and complementarities in both mergers and acquisitions How the degree of integration corresponds to the most appropriate degree of integration?How does the degree of integration influence the position of the M&A side in the innovation network and how it affects the technological innovation of the domestic industry after M&A,and puts forward the corresponding research hypotheses.Obtained the theoretical framework model.After that,this article uses the multi-agent simulation technology to establish a dynamic evolution model based on the netlogo platform,and further explains how the degree of integration affects the industrial technology innovation under different resource allocation.In the course of mergers and acquisitions integration,the optimal integration strategy that companies should choose is related to the resources related to the merger and acquisition.When the similarity of knowledges between the acquirer and the target is strong and complementary is weak,the acquirer will take a deep integration to enhance its centrality and structural hole position,which will promote the technological innovation of local industries.When the similarity of knowledges between the acquirer and the target is weak while the complementarity is strong,the acquirer to take a slight degree of integration can enhance their own center and structure of the hole location,thus promoting the local industrial technology innovation;when the merger and acquisition of both knowledges are both strong complementary and strong similarity,the merger to take a moderate degree of integration can enhance their own centrality and structure of the hole location,thus promoting the upgrading of indigenous industries and technological innovation.At the same time,when the external network resources of the target company are high,as well as the external network resources of the target are high,the effect of mergers and acquisitions brought by highly integrated integration will be reduced,and the promotion effect of the industry technology innovation will be reduced.At this time,the merger and acquisition companies shall respond to the highly integrated strategy and make adjustments.This study provides a useful reference for the government to guide manufacturing companies to invest in overseas mergers and acquisitions to enhance the innovative strength of local industries,as well as the successful integration strategy of mergers and acquisitions companies.
