The theory of the company governance is significant for the enterprise to estamblish the system whichi is?°clear property right, exact rights and responsibilities, separation of government and business, and scientific management?±. The Governance issue in electric power supply enterprises is the decisive step for the establishment of a modern enterprise. From this point of corporate governance, we studied the corporate governce problems in Xinzhou of Shanxi province and the corporate governance structure analysis of the current status of research on the basis of Xinzhou electricity, then we put forward the incentive and restrictive model.Thus we abtained the correct model for other similar enterprises in Xinzhou electricity power system, and provides an important theoretical basis to achieve the sustainable development.
