Higher school-owned scientific and technological enterprise is an important component of the national economic system, as well as a member of the enterprises family. It plays a positive role in accelerating the transformation from the scientific achievements to the production of industry. However, the incentive-constraint mechanism of the enterprise is established in the period of planned economy and it can't be suitable to the market-oriented economy today. Particularly, with the promotion of the Ministry of Education, the reform of the modern enterprise system among the higher school-owned scientific and technological enterprises has been popularized thoroughly since 2005, with the establishment of the new corporate governance; the traditional incentive- constraint mechanism has become the crucial obstruction to the development of the enterprise. With the variety of the situation, the theoretical study on this phenomenon is necessary and the impetus should be given to related work as well.In fact, the study on the incentive- constraint mechanism covers three aspects: the incentive- constraint to the principal, to the manager and to the employee. Among the three kinds of mechanism, the incentive- constraint mechanism to the manager is the most critical one. Since the manager owns the power of governing the legal person property and arranging the employee, so only with the manager's motive force can the enterprise produce the high profit? So, this thesis will focus on the incentive- constraint mechanism to the manager of the higher school-owned scientific and technological enterprise.Guided by mature theory of incentive- constraint mechanism in the word, the study tries to reconstruct incentive-constraint mechanism to the manager of higher school-owned scientific and technological enterprise of our country with conference of the home researching achievement. Including:①The incentive- constraint mechanism has been compared to that from abroad, find out the disparity and the experience that can be used and clarify the program of the reconstruction of the mechanism, on the basis of analyzing the characteristic of the enterprise and its manager, the problems lie in the traditional mechanism and the reasons why the problems emerge.②To establish three principles of how to design the incentive- constraint mechanism: that is, the principle of convergence of utility objective, diversification of measures and distinguishing primary from secondary and dynamic balance. Guided by foregoing principles, the scheme of how to design the mechanism is produced, including choice mechanism, incentive mechanism and constraint mechanism. The choice mechanism focuses on how to select the best manager for the enterprise, including the access mechanism and exit mechanism. The incentive mechanism focuses on resolve the problem of how to keep up the motivation of the manager, including the material incentive mechanism which operates by the reward and non- material incentive mechanism which operates by the control power. The constraint mechanism, which addresses to the problem of how to restrict the manager, focuses on the establishment of the mechanism which solves the question of how to control the manager, including the legal person governance and internal-control system.③For the purpose of mechanism's operating well, the thesis makes a research on the environment of the mechanism also. In the article's view, the environmental factors include capital incentive-constraint mechanism, performance evolution mechanism to the manager, enterprise culture, market and law etc, further more, the policy propositions about the establish and the improvement of the environment are produced as well...
