The thesis first compares different definitions of private fund given by different scholars, and then makes a law definition. At the same time, by the contrastive analysis between the private and private fund, it points out the unique advantage of private fund, which paves the way for the following discussion of private fund in theory. Secondly, this thesis analyses the current situation of Chinese private fund in order to find the problems and explore the challenges. And then, the thesis discusses the legal arrangements of private placement fund, such as agency of undisclosed principal, trust, corporation, limited partnership, etc. The author believes that limited partnership is the fittest for private placement fund. This thesis explores the future development of Chinese private fund from controlling of the risk and earnings mode. The possibly fresh idea of this thesis is the analysis of Chinese private investment fund which includes private placement fund and private equity fund, and respectively analysis from two angles of illegal private fund and legality private fund.The thesis uses the techniques of comparison, deduction and induction and thus reasonably comes to the conclusion. The writer uses the comparatively mature theory and practical experience in foreign countries for reference and combines our own country's real condition. Applying the logical reasoning of deduction and induction, the writer analyses the necessity of the legislation for our private placement fund and points some suggestions to regulate the detailed legislation, which has great realistic significance to the development of our country's present private placement fund.
