According to the classification of investment risk, M&A risk has been classified as systematic and unsystematic risk, and analyzes deeply the origin and characteristic of all sorts of risk.By probing into the case of Jingdongfang corporation M&A abroad, this paper sums up the successful experience of avoiding M&A risk. And based on this, the writer brings forward his own viewpoints in order to manage and control risk, prevent and decrease the loss, improve the performance of M&A for reference of successful merger and acquisition. For example, we need to catch hold of the most difficult question in many risks, and make use of the existed resources from the M&A enterprises by attention of outward environments and adjusting corporation strategy. And we should adopt the reasonable and the least risky finance. Besides these, the human resource management and the conflict of organization culture should be solved between two M&A companies. All of these are the most important things for controlling the M&A risk. In all, this paper brings some innovation from the construction and content in this field.
