Due to the need of management and the absence of theoretical research, it's necessary to make a further and an exhaustive study on inner managerial institution. This paper makes a research on inner institution in the frame of its essence, Efficient Boundary and designing operation.In the beginning, the nature of inner institution is put forward. The inner institution takes on four functions which are realizing organizational performance ideal, forming staffs'organizational rationality, fusing with volitional and rational components and establishing an order that anything is regulated. Then the nature of inner institution is be defined as a necessary tool in management practice which is fused with volition and rationality, and can help to solve the problem of the conflict need between the individual self-fulfilling and organizational optimizing.After the cognition of the essence of inner institution, this paper continues to do a research on the characters, elements and forms. For the reason of the particular forms of organization, the inner institution presents such characters as contra posing strongly to organization, aiming at the staffs that accord with a organization, basing directly on the management theory, focusing on the management process, having a higher flexibility. As a system, the inner institution should consist of the procedure, rule, policy and principal, of which the three former elements are combined as norm. The inner institution includes two forms. One is hardened institution which makes staffs accept codes by the establishments, equipments or technologies; the other is flexible institution which achieves the control of person-to-person by the letters or illustrations.Basing on the nature of inner institution, the behavior Efficient Boundary which exists where clan control, market control, the behavior influence pattern of object to person could not well do, or law could not well expatiate, is be defined. As a result, the conclusions help us to comprehend the nature and Efficient Boundary of inner institution more exactly.The end of this paper expounds the designing operation of inner institution. Firstly the principal of designing operation is confirmed. They are system principal, contingency principal, humanism principal, behavior point principal, right equaling to obligation principal,motivation combining to control principal, strength coexist with kindness principal and staffs participation principal. Secondly the primary steps of designing operation are brought forward. Its could such be disassembled as identifying the need, confirming the Efficient Boundary, developing the scenario, drawing up and finally coming formally on. At the same time, the main point of each step is elaborated on. Finally, using for reference of the fruit of law and legislative science, the title standard, the formal structure, the words, and the sentence are discussed. Such conclusions are come to that the title might unify as management institution, the form of management institution is suggested from designing principal to the norm, the words should be exact, compact, precise and vulgar, it might adopt the long sentence , declarative sentence,imperative sentence and complex sentence as possible.
