A Research On The Relations Between The Listed Enterprises And Remainder Enterprises In The Division Reformation Of SOEs

With the development of the economical globalization, the domestic enterprises are confronted with the increasingly fierce competition in the international environment. The state-owned enterprises (SOEs), especially the large-scale,super-huge SOEs which play an important role in national economy, are facing both opportunities and challenges. Under the guidance of state policies, some large-scale SOEs have undergone reformation. The thesis analyzes the background and pattern of SOEs reformation as well as the implementation methods of division reformation. The implementation of division reformation has resulted in the emergence of listed enterprises and remainder enterprises and the change of their inner relations. The thesis discussed the problems with the capital, debt, staff, business and management of remainder enterprises after reformation. The thesis also places emphasis on the introduction of remainder enterprises by using examples of China Petroleum,SINOPEC,CNOOC and CMC. Meanwhile, the thesis analyzes the causes and effects of these problems. Moreover, the thesis, from the perspective of corporate govermance and connected transactions, discusses the problems that the listed enterprises are facing and their causes and effects. Finally, the thesis give some suggestions accordingly about the problems which remainder enterprise and listed enterprise confronted with.
