| The reformation of state-owned enterprises is a central aspect of the reformation of economy system in China. With the gradual establishment of socialist market economy system, state-owned enterprises, especially the large-scale, super-huge state-owned enterprises which occupy an important position in the national economy, have actively promoted joint-stock reformation under the guidance of the national policy:The main business and good assets have been reorganized and composed of the stock company which became listing corporation; other non-core business and assets established independent enterprises, which implement of centralized and unified management called the remainder enterprises. The remainder enterprises since the date of birth generally had prominent contradictions and difficulties, such as assets status difference, surplus personnel, low degree of marketization and profitability weakness, the problems left over by history, decentralized management, lack of scientific and clear development ideas, which lead to low speed and quality of development. Some remainder enterprises are difficult. This thesis thinks that it would produce a large number of unemployed workers causing social instability and be likely to lead to failure of the reformation of state-owned enterprises, which do not conform to the responsibility of state-owned enterprises which provide employment opportunities and maintain social stability, if we cannot solve the issue of development of the remainder enterprises. Therefore, we must pay enough attention to the development of remainder enterprises, and support remainder enterprises to establish the new mechanism of hematopoiesis, to adapt to the market economy competition environment, to provide good service for main business and society, to realize the orderly and healthy development, which is the only way for the state-owned enterprises to establish a good social image and greatly enhance the development quality and level. On the contrary, if the remainder enterprises reformation and development are lagged, there will be loss of parent company’s corporate image, and it will even drag on the operating performance of the listing corporation, which will influence the effectiveness of the restructuring of state-owned enterprises in the strategic decision.This thesis holds that the development of remainder enterprises is not only the enterprises’own responsibility, but also the responsibility of the country and their development is related to the reformation of state-owned enterprises globally and the matter of social stability. How to help the remainder enterprises to overcome difficulties and find the right development location and direction and target, realizing scientific development, is of great theoretical and practical significance. So, firstly, the thesis uses qualitative analysis and systematically introduces the history about the state-owned enterprise reformation and important policies on the restructuring of state-owned enterprises. Secondly, this thesis uses the methods of literature study, through collecting the literature on problems of state-owned remainder enterprises in recent ten years, to fully grasp the latest research results in this field and put forward the research emphases of the thesis. Finally, based on the case study method, this thesis analyzes the existing circumstances and major problems in the management and development of a remainder enterprise of a large central enterprise which has reformed and listed, and presents its advantages and disadvantages in operation and development, and put forwards some suggestions on the survival and development of this remainder enterprise.The thesis argues that remainder enterprises must adhere to Scientific Outlook on Development as the guiding ideology, centering on the overall situation of reform and development of China Railway Engineering Corporation(CREC), researching business development ideas with the scientific method; remainder enterprises must establish the work idea promoting the development with reform, maintaining stability with the development, particularly, regarding development as the first priority, regarding stability as the first responsibility; remainder enterprises must establish the enterprise ruling thought inclusiving overall situation with strategic, reconstructing enterprises with reform, developing on innovative technology, centering on economic benefits, adhering to enterprise-oriented and market-oriented operation; adhering to the work principle of the "five favorable", which is beneficial to realize sound and rapid development for CREC, to realize standardized operation for main business, to carry out management activities for remainder enterprises, to preserve and increase the value of state assets, to maintain the health of subordinate unit development and the stability of the team; striving to realize "five better" which is that asset structure is more excellent, that organizational structure is more optimized, that business structure is more reasonable, that management and operation are more effective, that economic benefits are further improved; making efforts to realize "five changes" which is that changing from taking reform seriously only to taking both the reform and development seriously, that changing from taking management seriously only to taking both the management and operation seriously, that changing from taking constraint seriously only to taking both the constraint and excitation seriously, that changing from taking depending on main business seriously only to taking both the depending on main business and market seriously, that changing from taking social responsibility seriously only to taking both the social responsibility and enterprise responsibility seriously. Remainder enterprises must change the development mode and improve the quality of development, and gradually do better, to build a modern enterprise with certain market competition ability.Finally, the thesis puts forward the conclusions, by carrying on the systematic analysis of the development environment and resources and strategy of the subject, giving the evaluation and prospect about the significance and future of the remainder enterprise, putting forward some opinions and ideas on how to promote the development of the remainder enterprise, providing concrete working ideas and useful reference to seize the good opportunities to overcome the predicament, to adapt to the competitive environment of market economy, to realize the self-management and self-gain and self-deficit and self-restriction and self-development for such enterprises, conducting positive research and exploration for the innovation of management model, realizing the healthy and scientific development of the state-owned enterprises, consolidating the achievement of the reform of state-owned enterprises. |
