Board of directors is the corporate decision-making organization. It has the decision-making right of the important events and it is an important part of the organization. Does a board of directors structure really have an influence function to company performance? Scholars of many countries have always continually focused it, in order to find governance mechanism and elevation of the firm performance through the research on the relationship between board of directors structures and corporate performance of Chinese listed companies.The thesis sets the board of directors factors off three kinds, namely independence character, inspirit character and other character. these factors of structure are the research variables according to financial estimate evaluation and the regulation of SEC, choose ROE and MOP as estimate index of corporate performance as well. In the course of analysis, according to Wind data-base, tenth'industry of listed companies'structure and financial data of 2003 to 2005 have been chosen and SPSS 13.0 statistics software has also been adopted to research the relationship between the board structure and the corporate performance.This article has enriched the research of the leadership between the board government and corporate performance in theory, advancing its research methold and view into a height of systematization. Because the value of theoretical research lies in the fact that it comes from practice and can guide the practice conversely. The author expects that this thesis can come into being substantial help for Chinese listed company performance evaluation and rationalized board structure.
