Merger and Acquisition (M&A) is not only the inevitable outcome of the development of the market economy, but also is an inevitable requirement for the development of the market economy. With China's smooth accession to the WTO, through merger, China's enterprises can be achieved by a strong alliance with major international companies. And Achieving scale economies and complementary strengths in the face of fierce competition for survival and competition in the international market. Also through the way M&A, ones can to compete with rivals to expand their market share. In recent years, .3C integration between enterprises in the information industry has become a major trend .3c IT integration has become the trend in the future years. Expected in the next 10 years, China 3c integration of the relevant market size more than 200 billion U.S. dollars. In recent years, China 3C enterprises are actively seeking overseas broader space for development. Haier's overseas factories from the beginning of 1990, there have been enterprises go out of the country and to seek a broader market space. However, our 3C enterprises, transnational mergers and acquisitions, not enough understanding of the development trend of global trade, ended more than a setback. The intention of this paper to choose from China 3C enterprises of the two countries in such cases the acquisition, analyze, 3C intended more for domestic enterprises in the international road will provide a valuable experience. Therefore, to illustrate this point, this article is divided into six chapters to explain. First, in the first chapter, to clarify topics background, the significance of the objectives and methods; Recalling the second chapter of the merger theory, the definition of cross-border M&A discussed, the characteristics of the acquisition, development process; Then in the third chapter ,introduce of the development of the traditional industries and the 3C enterprises ,and summarize the characteristics of China 3C enterprises; In Chapter four ,I select Two typical 3C enterprises case -TCL and Lenovo acquisition IBM PC as the analysis aim. through these two cases reviewed its merger; Chapter five—through two selected traditional industries cases: the Zhejiang Wanxiang and Chinese petroleum merger contrast to Lenovo and TCL and. use BCG (operating units portfolio analysis) matrix as a tool features.from the industry, the competition, technological upgrading and other aspects, Chapter six reached the conclusion that: 1. Study abroad on cross-border M&A are enlarged to the entire global framework. no different characteristics of different industries and the development of specific, effective acquisition theory, not completely effective means of transnational mergers and acquisitions of enterprises; 2, the choice of two cases in the analysis show they did not pay attention to scale development of the industry in the global 3C attractive industries and sectors;3.3C industries against two of the characteristics of cross-border M&A, China's traditional industries, as well as the merger of the two companies, compared China 3C enterprises, transnational mergers and acquisitions not only to draw attention to the core competencies training, we must pay more attention to the development of the industry's features; 4, the traditional Chinese 3C managers, mostly technical background, the rigorous technical thinking, can they adapt to the changing situation now and then ? How will technology and the long-term development strategy for a perfect combination of modern enterprise worthy of every manager's thinking.
