Therefore, studying on the oversea fund is very important to both theory value and practical significance.Based on the effect of equity structure﹑dividend policy and financial strategy, and with the view of value management, theory analysis along with practice induction was used in this article to analyze and study realistic path and the approach of achieving maximization of project income of the oversea fund.For content,this article has discussed the attribute﹑feature as well as orientation of equity structure and dividend policy of the oversea fund project, analyzed dual income structure﹑reciprocity and respective influence factors of the oversea fund project, exposed particularity﹑quality needed and key point of financial strategy of the oversea fund project, explained the way choice and their corresponding advantages of exit link as well as more attention paid to equity transfer which is fundamental mode of exit.This article thinks the oversea fund should strive to be majority in equity during the period of investment in order to make value by running business based on its advantage, and gain the huge premium caused by domination when exiting, benefiting from two stages. As for dividend policy, because the income of the oversea fund is composed of"dot income"and"line income", among this,"line income"namely present income is usually under the control, and"dot income"refers to forward income difficult to be anticipated, the oversea fund should carry out the policy of enhancing payment rate of dividend,with the consideration of specialty in cash inflow,investment opportunity as well as debt financing for the oversea fund. In order to further demonstrate the influence of equity structure and dividend policy to income of the fund, a mathematics model has been established within this article, based on theory analysis and the feature of the oversea fund.This article is the first to systematically introduce and study the principal aspect of the oversea fund, With the purpose of bringing in jade by handing brick, it promotes development of practice activities and progress of theory study with the oversea fund in China.
