The Analysis And Control Of The Cooperation Mergers And Acquisitions Risks

Till now, more than two-thirds of the international mergers and acquisitions cases are ended in failure. It's also not always successful to have the mergers and acquisitions in China .So we must know the risks, control the risks, it can be also said that who control the risk, who control the merger and acquisition market as well.If we want to control the risk, first we should know every main risk of the process and also know the root of the risk producer. This paper purposes to make directions to evade the risk and reduce the loss through elaboration and analysis of every problem in the cases, analyze the reasons of the risk of the cooperation mergers and acquisitions.In the area of the cooperation mergers and acquisitions, there have been a lot of experts and participants researched the risks, especially the law and financial risks, but they haven't make the detailed research of the logic relations of the risks .In this paper, the author make refines of the research of the predecessors, analyze the logic reasons of every risk through the cases and the work the author has done before.The point is to introduce the risks of the leverage buyout and the cultural integration, and the way to solve these problems.The main research methods are as follows: one is to do the research through literature documents and policies, the author collects a lot of documents of cooperation mergers and acquisitions, to make the further investigations on the predecessors'research results. The other is case analysis. To make the investigation through the mergers and acquisitions the author has been anticipated.Of course, the mergers and acquisitions activities are complicated, so the article is hard to cite all the risks, so this paper is just elaborate the experience and the thought of the author about the risk control and evasion. The paper is not good enough in some aspects because of the knowledge and experience shortage.
