Study On Mutual Governance Mechanism Based On The Stakeholders

After establishing the modern enterprise system in our country, the state-owned enterprise'innovation enters a historical stage. However, because of the collision of the new and the old system, the imperfect of legal regulation, some questions exist in corporate governance, such as insider control,"one big share alone"and so on, which affect the establish of the modern enterprise system and the benchmarking of securities market, which harm the behalf of the shareholder, the staff, the operator, the creditor and other interest bodies. Therefore, achieving the optimization of corporate governance's structure becomes a topic which needs us to study. Under this background, this article takes our country's enterprises as the research object, and tries to establish a system of co-governance mechanism based on the stakeholders.Firstly, based on the understanding of the"who is the enterprise's stakeholders"that proposed by home and abroad experts, the paper proposes the definition of stakeholders. And the paper appraises the studies of the theory of stakeholders. Next, the paper introduces the exploration of limiting stakeholders by abroad experts, and then proposes individual limits method and analyzes the behavior of seven kinds of stakeholders. Thirdly, the paper elaborates the theoretical basis of the mode of mutual governance of stakeholders, and points out the inevitability that the mode of mutual governance replaces the mode of traditional governance. Fourthly, the paper discusses the practice of western companies'mode of the enterprise governance. Looking from the economy and the development condition of different countries', studying enterprise governance based on the stakeholder co-governance is a quite obvious tendency. Finally, this article explains the system of the mode of enterprise governance and the governance mechanism. And this paper divides enterprise governance mechanism into the internal government mechanism based on enterprise governance structure, the market government mechanism based on market and the social governance mechanism based on the social environment, and then explains it.
