Remarkable change had been occurred in retail trade in the past 10 years, some of the foods retail merchants unceasingly expand their business overseas in the form of mergers and Acquisitions (M&A),and won dominating position in the retail market of many countries in Southeast Asia, Central Europe and Latin America. At the same time, these leading retail merchants are always expanding their purchase management scope, they establishes global purchase network to in the suitable position to gains various kinds of cargo for the home and the overseas market . In the global scope, those retail merchants whose annual retail sales is above 10 billion are accelerating the step of transnational investment expands.Although from the late year of 1980s, the domestic and foreign scholars have started they research on the phenomenon of the international investment in retail trade, according to the existing literature ,these research more or less focused on the motive and the operation mechanism of retail trade internationalization, and many of them were by the qualitative research primarily. This research carry on the review of predecessor research results and attempt to analysis causes of the change in retail trade, the motive of the retail enterprise transnational management and various influence factors on foreign investment in the course of internationalization of retail trade.Set out from the solid example of Carrefour, this article constructed the real diagnosis analysis model and carried on the confirmation to those influence factors in the retail trade transnational investment. We obtain the basic conclusion is: The retail sales enterprise's internationalization experience, the economy level of the host country (average per person GDP), the colleague industry competitor and so on are the main factors which affect transnational investment expands to those the retail trade giant. This result has further confirmed about research results in the retail trade transnational investment .and tallies with the most scholars' deduction.This article divides into following several chapters in the structure: First chapter were partial for the introduction, elaborated the research aim, the research significance and so on of this article, Second chapter elaborated the present situation ,the characteristic, the way and the development tendency of retail trade transnational investment. , and carry on the review summary about the international investment phenomenon from the Static and the Dynamic point of view, and indicated we need more academic attention on such research .Third chapter were some theoretical analysis on motivation of the transnational investment expansion in retail trade and pointed out some insufficiencies of the present theory when conducts the research to this topic, On the base of the Previous research, we proposed the theory frame of this article. Fourth chapter were the real diagnosis analysis for the expansion influence factors on transnational investment of retail trade , and mainly on the study of international investment expansion of Carrefour who is the word leading retailer and draws the related conclusion. Fifth chapter were the basic conclusion of this research and correlation enlightenment to our country retail trade.
